(“AGI“) consented and was appointed to act as trustee under the NOI (in such capacity, the “Trustee“). Albert Gelman Inc. became the Court appointed receiver (the “ Receiver”) over the assets, properties and undertakings (the “Property”) of Abingdon Meat Packers Limited (“AMPL”) and DeSimone Investments Limited (“DIL”) (collectively, the “Debtors”) on May 26, 2015 pursuant to an Order (the “Appointment Order”) of the Honourable Justice Miller of the Ontario Superior Court of Justice (Commercial List). AMPL carried on business as an abattoir; processing lamb and veal from a building located at 1607 Abingdon Road, Caistor Centre, Ontario (the “Premises”) which is owned by DIL. Sales Process: On July 21, 2015, the Court approved of the Receiver’s sales and marketing process to solicit offers from prospective purchasers of the Debtors Property. Amscan Canada Inc.

Amscan Canada Inc. (“Amscan Canada” or the “Company”) is a provincially (Ontario) incorporated private company, which operated within a wider group of companies that carried on business designing, distributing and selling party goods under the banner Party City (the “PC Group”). Amscan Canada was previously named Party City Canada Inc. (“PCCI”). As PCCI, it operated numerous brick and mortar retail locations in Canada for the sale of consumer party and celebration goods under the Party City brand.

In August 2019, the PC Group sold its Canadian retail business to Canadian Tire Corporation (“CTC”) as part of a larger streamlining initiative. The transaction was effected through an agreement of purchase and sale dated August 8, 2019, under which PCCI sold substantially all of the Party City Canadian retail business’s assets to CTS and divested all of its retail store locations. At the same time, PCCI changed its name to Amscan Canada. Since August 2019, Amscan Canada has operated in Canada as a wholesale distributor.

In December 2024, certain PC Group companies, not including Amscan Canada, commenced voluntary insolvency proceedings in the United States of America under Chapter 11, Title 11 of the United States Code (the “Chapter 11 Proceedings”). The PC Group companies that are subject to the Chapter 11 Proceedings are in the process of having their assets liquidated and are being wound up.

On application by the Company to the Ontario Superior Court of Justice (Commercial List) (the “Court”) pursuant to sections 207, 209 and 210 of the Business Corporations Act, R.S.O. 1990, c. B-16, as amended, on March 10, 2025, the Court granted an order, among other things, authorizing that Amscan Canada be wound up and appointing Albert Gelman Inc. (the “Liquidator”), as liquidator, without security, for the purpose of winding up Amscan Canada. Also on March 10, 2025, the Court granted an order setting out a claims process and claims bar date in connection with the wind-up proceedings of the Company.

Prosysco Ltd. (“Prosysco”) is a manufacturer, designer and supplier of highly specialized engineering process solutions. 1110615 Ontario Ltd. (“111 Ontario”) is the parent company of Prosysco. Prosysco and 111 Ontario are collectively referred to below as the “Companies”.

The Companies both filed a Notice of Intention to Make a Proposal (“NOI”) under Part III, Division I of the Bankruptcy and Insolvency Act (Canada) (“BIA”) on April 1, 2023 and Albert Gelman Inc. (“Proposal Trustee”) was appointed as Trustee of the Proposal.

The Companies are not bankrupt, but have availed themselves of a process whereby an insolvent person restructures its financial affairs with creditor and Court approval. The NOI provides an automatic stay of proceedings against the Company’s creditors providing the Company with an opportunity to restructure its affairs. During this time, the Company will remain in control of its assets and business operations.

Pusateri's (Bayview Village) Limited, Pusateri's Yorkville Limited and Pusateri's Kitchen Limited

On August 13, 2024, each of Pusateri’s (Bayview Village) Limited, Pusateri’s Yorkville Limited and Pusateri’s Kitchen Limited (collectively, the “Debtors”) filed assignments in bankruptcy and Albert Gelman Inc. was appointed as Licensed Insolvency Trustee (in such capacity, the “Trustee”) to administer each of the Debtors’ bankrupt estates, subject to affirmation by the Debtors’ creditors at their respective first meeting of creditors. A summary of the Debtors is provided as follows:

(i) Pusateri’s (Bayview Village) Limited – owned and operated the Pusateri’s grocery store located in the Bayview Village Shopping Centre;

(ii) Pusateri’s Yorkville Limited – owned and intended to operate a Pusateri’s grocery store located in the Little Italy neighbourhood of Toronto, ON; and

(iii) Pusateri’s Kitchen Limited – owned and operated an industrial kitchen and warehouse located at 73 Samor Rd., Toronto, ON, which serviced/supplied the various Pusateri’s locations with in-house branded products.

The Debtors are affiliates of several entities comprising the Pusateri’s Group of Companies, the operations of which are being consolidated into one location, its flagship grocery store on Avenue Road in Toronto. The Avenue Road location will continue to operate in the ordinary course and is unaffected by the Debtors’ bankruptcy proceedings. The Pusateri’s grocery store located within the Saks Food Hall in the CF Toronto Eaton Centre will also remain open.

Synergy Stamping Inc. (“Synergy”) and 1696306 Ontario Inc. (“169Co”) (collectively, the “Companies”) are related companies. The Companies each filed a Notice of Intention to Make a Proposal (“NOI”) pursuant to the provisions of the Bankruptcy and Insolvency Act (“BIA”) on February 14, 2019 and Albert Gelman Inc. (“Proposal Trustee”) was appointed as Trustee of the Proposal.

Synergy is a fabricator, designer and manufacturer of metal components used in commercial and industrial lighting (e.g. louvers, slats and metal housings). Synergy operates from its leased premises located in Mississauga, Ontario. 169Co is a holdings company which owns manufacturing equipment and tools. Synergy uses 169Co.’s equipment to manufacture its products.

The Companies are not bankrupt, but has availed themselves of a procedure whereby an insolvent person restructures its financial affairs with creditor and Court approval. The NOI provides an automatic stay of proceedings against the Companies’ creditors providing the Companies with an opportunity to restructure their affairs and formulate a proposal to creditors. Pursuant to an order of the Ontario Superior Court of Justice (Commercial List) (the “Court“) dated December 2, 2024, Albert Gelman Inc. (“AGI“) was appointed as receiver (the “Receiver“) of all the assets, undertakings and properties of Woodington Estates Inc. (the “Company”), including the real property municipally known as 7110 4th Line, Tottenham, Ontario (the “Real Property“).

The Company is the registered owner of the Real Property, which houses a golf club comprising, among other things, two eighteen (18) hole golf courses and supporting infrastructure (the “Golf Club“). The Golf Club business (the “Business“) is operated and overseen by Woodington Management Inc. (“WMI“) and 1000736785 Ontario Limited (“785“). WMI and 785 are not subject to the Company’s receivership proceedings.

On July 15, 2025, the Court granted an order (the “Sales Officer Appointment and Sale Process Approval Order”), which approved a sale process for the Business and the Real Property (the “Sale Process”). Pursuant to the Sales Officer Appointment and Sale Process Approval Order, AGI is authorized to conduct the Sale Process in its capacity as Receiver of WEI and as Sales Officer of WMI and 785.

Yappn Canada Inc.

Yappn Canada Inc. (“Yappn” or the “Company”) is a provincially (Ontario) incorporated corporation engaged in software development. The software being developed by Yappn delivers real-time language translation products which enable vendors and consumers to communicate freely with one another, each in their own preferred languages.

Yappn filed a Proposal under Part III, Division I of the Bankruptcy and Insolvency Act (Canada) (“BIA”) on November 23, 2018 and Albert Gelman Inc. (“Proposal Trustee”) was appointed as Trustee of the Proposal. The Company is not bankrupt, but has availed itself of a procedure whereby an insolvent person restructures its financial affairs with creditor and Court approval. The Proposal provides an automatic stay of proceedings against the Company’s creditors providing the Company with an opportunity to restructure its affairs. During this time, the Company will remain in control of its assets and business operations.
